# How a founder-led professional services firm built its way to an eight-figure exit

The firm had the reputation, the clients and the team. What it lacked was a business a buyer could underwrite. Over a three-year partnership, Capstone CFO helped the founders expand margins, run the firm on the numbers that matter and sell to a strategic acquirer in an eight-figure exit.

[Book a Call](https://capstonecfo.com/meeting) [See how we did it](https://capstonecfo.com/case-studies/professional-services-firm-exit#approach)

**Eight-figure**Exit to a strategic acquirer

**3 years**From first meeting to closing

**4 acquirers**Competing in the sale process

**Meaningful growth**In enterprise value

At a glance

**Client**Founder-led US professional services firm, lower middle market

**Engagement**Three years, from first meeting to closing, plus post-close support

**Capstone's role**Strategic partner and fractional CFO, then exit-readiness lead, then financial advisor through the sale

**Services**Fractional CFO · FP&A and reporting · Margin improvement · OKR deployment · Exit readiness · M&A transaction support

**Outcome**Sold to a strategic acquirer in an eight-figure transaction

The challenge

## A great firm that wasn't yet a sellable one.

Clients were loyal, most of the work was recurring and the team was trusted. Underneath, four problems would have cost the founders dearly in a sale.

01

### Numbers a buyer wouldn't take at face value

The books ran on a 30-year-old legacy industry system that was completely siloed, held together by spreadsheets the in-house team managed by hand. Profit by client, by service line and by professional was invisible.

02

### Margin leaking out of the business

Utilization and realization weren't measured, so unbilled time, write-downs and underpriced work went unnoticed. Labor costs ran well above the best-in-class benchmark.

03

### Contracts that left value on the table

Engagement terms varied client to client. Loose scope, few change orders and soft renewal and payment terms gave away value every month.

04

### No plan for the exit

There was no shared view of what a sale required, when to pursue one or what the firm was worth.

The founders' questionIf we sell, how do we do it on our terms, at the best possible value?

How we showed up

## A strategic, trusted partner from day one.

Capstone wasn't hired to send reports. From the first meeting, we worked as the founders' strategic finance partner, and our core values set the standard for every decision, every deliverable and every hard conversation.

### Built on Trust

Consistent, discreet and accountable. We do what we say.

In this engagement

The founders shared their numbers, their concerns and their personal goals for a sale. We kept every step confidential, met every timeline we committed to and raised hard truths early, while there was still time to act on them.

### Operator Mindset

We think like owners and tie every number to real decisions.

In this engagement

We measured what an owner needs to run a professional services firm, from utilization and realization to profit by client, then used it to decide what to sell, how to staff and how to price.

### Constant Improvement

There is always a better way to run finance. We find it.

In this engagement

Every quarter brought a sharper version of the firm: better systems, clearer dashboards, tighter contracts and OKRs that matured with the team. By the time buyers arrived, it ran like a much larger company.

The approach

## Build the value first, then sell it.

Most sale processes start when a buyer calls. This one started in Capstone's first month, with conversations with M&A bankers about what buyers in the sector actually pay for. Everything that followed worked backward from that answer.

Phase 1

**Build the foundation**What buyers value, new systems, a monthly CFO Report, OKRs and firm-wide benchmarks.

Phase 2

**Expand the margin**Utilization and realization targets, pricing and staffing changes, stronger contracts and a written Exit Playbook.

Phase 3

**Run the deal**A rapid response to the first buyer, a banker and M&A counsel on board, a competitive process, quality of earnings and a clean close.

Step 1 of 7

## Decide where to win

The obvious move was to chase more of the same growth. Capstone asked a sharper question: which growth would a buyer pay the most for?

- **Treated strategy as a valuation decision.** One-off projects, ongoing advisory work and recurring retainers trade at very different multiples. Choosing the mix meant choosing the price.
- **Measured profit by client and service line.** For the first time, the founders could see where the firm earned its best margins and its stickiest relationships.
- **Shifted toward the premium work.** The firm organized into focused practice areas and leaned into specialized, recurring engagements, which became its fastest-growing practices with the highest retention and the largest relationships.
- **Built repeatable, referral-sourced growth.** Capstone modeled the firm's partner referral channels, so leadership knew how many referrals, at what engagement size, each revenue target required.

Step 2 of 7

## Build a finance function a buyer can trust

The firm had outgrown its tools. Its 30-year-old legacy industry system was completely siloed and couldn't show the metrics that actually ran the business. To fill the gap, the in-house team managed multiple spreadsheets by hand: time-consuming work that was prone to major errors.

- **Migrated to QuickBooks Online.** Capstone led the move off the legacy system, integrated QuickBooks Online with the CRM and project tools, and began recording cost of delivery by client. Manual spreadsheet work gave way to one connected set of books, and gross profit by client was visible for the first time.
- **Delivered decision-grade reporting.** A monthly CFO Report and live dashboards covered the P&L, cash, working-capital runway, utilization, realization and a weekly sales pipeline.
- **Put strategy on a scoreboard.** Within the first quarter, Capstone deployed [OKRs (objectives and key results)](https://capstonecfo.com/blog/objectives-and-key-results-okrs-why-cfos-value-this-strategy-execution-framework). Quarterly goals cascaded from annual objectives and were reviewed at every all-hands, so each person could see how their work moved the plan.
- **Planned in scenarios.** Base, best and worst-case forecasts and bookings-based revenue management replaced gut feel.

Step 3 of 7

## Run the firm on utilization and realization

In a professional services firm, profit is won or lost hour by hour. Capstone made the [two numbers that drive professional services profit](https://capstonecfo.com/blog/utilization-and-realization-professional-services-profit) visible to everyone who could move them.

- **Utilization by person, team and practice.** Billable time against capacity, reviewed weekly, so leaders could rebalance work before it showed up in the margin.
- **Realization by client and engagement.** What the firm billed and collected against standard rates, with every write-down traced to its cause: scope creep, underpricing or inefficient delivery.
- **Targets everyone could see.** Utilization and realization goals were built into the OKRs, so every professional knew the standard and how they were tracking against it.
- **Capacity tied to the pipeline.** Forecasts showed when to hire, when to hold and when the existing team could take on more.

Step 4 of 7

## Expand the margin

With visibility in place, the margin work began. The written Exit Playbook set the course: grow the top and bottom line, then shift to profit maximization ahead of a sale to earn a stronger multiple.

- **Priced for value.** Rates were reset wherever realization showed the firm was underpriced, and more work moved to recurring retainers and [value-based engagements](https://capstonecfo.com/blog/how-to-price-professional-services-hourly-fixed-value).
- **Staffed for leverage.** Work moved to the right level of the team and was delivered by a leaner, more senior group. Labor cost as a share of gross profit was managed against a best-in-class benchmark.
- **Held overhead to a standard.** G&A and operating-margin targets gave leadership a scoreboard buyers would recognize.
- **Results that compounded.** Gross profit per employee rose about 25% while the team got leaner and revenue held steady.

Step 5 of 7

## Strengthen contract terms

Every contract either protects value or gives it away. Capstone helped the founders make each one an asset a buyer would pay for.

- **Standardized engagement terms.** Consistent MSAs and statements of work with clear scope, deliverables and change-order language, so extra work became billable work.
- **Stronger renewal and payment terms.** Longer commitments and cleaner renewals on recurring work, and payment terms that shortened the time from work performed to cash collected.
- **A contract behind every dollar.** A contract waterfall tied every invoice to its MSA and statement of work, so revenue could be proven, not just reported.
- **Contracts that held up in diligence.** When a bidder later tried to discount part of the business, those contracts showed that most of the revenue sat under non-cancelable, already-renewed agreements.

Step 6 of 7

## Do the diligence before diligence

- **Built the data room early.** The contract waterfall, a full employee census, documented add-backs, a quality of earnings (QoE) request list and a seller-proceeds calculator were all in place before a buyer asked.
- **Protected the team buyers pay for.** A phantom stock plan gave key leaders a share in the exit.
- **Defined "yes" in advance.** The founders set walk-away thresholds for after-tax proceeds and post-close roles, so every offer was judged against their goals, not just the headline number.

Step 7 of 7

## Run the process and protect the price

When an unsolicited buyer arrived, Capstone stood up a rapid M&A response team within days. It stress-tested the offer, built the diligence plan and funds-flow analysis, and told the founders the hard truth: a single bidder rarely produces the best price.

- **Assembled the deal team.** Capstone brought in an experienced M&A investment banker to run a competitive process and M&A counsel to lead the legal work, with every advisor aligned on the same outcome.
- **Created real competition.** A teaser, buyer list, confidential information memorandum, financial model, data room and management meetings brought four acquirers to the table, including a private-equity-backed strategic and a larger firm in the same sector.
- **Defended the valuation.** When one bidder discounted part of the business on "client fit" and pushed for a revenue-based valuation, Capstone challenged the churn analysis and deferred-payment terms and modeled counter-proposals. The founders never negotiated against themselves and walked away from terms that fell short.
- **Quarterbacked quality of earnings.** Capstone answered the buyer's QoE team line by line and rebuilt earlier years from the legacy system, reconciled to the new books, so the founders could keep running the firm.
- **Protected the close.** Same-day turnaround on updated financials, a formal letter on accounting methodology and tight coordination with counsel and the banker on funds flow and closing mechanics kept the final weeks on track.

## How the sale came together

1. **Unsolicited interest**A buyer approaches. Within days, Capstone stands up a response team and engages M&A counsel.
2. **Terms defined**The founders set walk-away thresholds for after-tax proceeds and their roles after closing.
3. **Competitive process**An investment banker runs a structured process. Four acquirers engage, and management meetings follow.
4. **Valuation defended**Bidders receive client segmentation by practice area, counter-proposals are modeled, and the founders decline one bidder's terms.
5. **Quality of earnings**The eventual buyer's QoE review is supported line by line, with updated financials delivered the same day they are requested.
6. **Signed and closed**The purchase agreement is signed and the firm is sold to a strategic acquirer in an eight-figure transaction.

## What changed in three years

| Area | Before | After |
| --- | --- | --- |
| Systems and visibility | A siloed, 30-year-old legacy system and manual spreadsheets | QuickBooks Online connected to the CRM and project tools, a monthly CFO Report and live dashboards |
| Profitability | Unknown by client or service line | Gross profit by client, practice area and professional |
| Utilization and realization | Not measured | Tracked weekly by person, team and client, with targets in the OKRs |
| Pricing and staffing | Rates and staffing set by habit | Rates reset with realization data, delivered by a leaner, more senior team |
| Contracts | Inconsistent terms and loose scope | Standard MSAs and SOWs, clear change orders and a contract behind every invoice |
| Exit readiness | No plan and no view of value | A written Exit Playbook and a data room ready before the first buyer called |
| Sale outcome | A single unsolicited offer | Four competing acquirers and an eight-figure strategic sale |

The results

## An eight-figure exit, on the founders' terms.

The value was built before the first buyer called, so the founders could defend it at the table.

**An eight-figure strategic sale**Reached through a competitive process, not a single-bidder negotiation.

**A more profitable firm**Higher gross profit per employee, a leaner and more senior team, and margins a buyer could see and trust.

**An exit on the founders' terms**With clearly defined, reduced roles after closing.

**Fast, clean diligence**The data room, contract waterfall and earnings support existed before anyone asked for them.

**No surprises at the table**Financials reconciled, add-backs were documented, and the founders knew their expected proceeds before they signed.

**A lasting partnership**After closing, the founders re-engaged Capstone to build a six-year financial model for their next venture.

Lessons for founders

## What every founder can take from this.

Eight lessons that apply to any founder-led firm, whether the exit is two years away or ten.

1. **Start exit planning years before you sell.**The best outcomes are built long before the first buyer calls.
2. **Your strategy is your valuation.**The services you choose to grow decide the multiple a buyer will pay.
3. **Utilization and realization are your profit engine.**Measure them weekly, by person and client, and margin follows.
4. **Contracts are assets.**Clear scope, change orders and renewal terms protect value every month, and again in diligence.
5. **Clean data is leverage.**Client-level profitability and a fully mapped contract base turned "trust us" into numbers a buyer could underwrite.
6. **Competition sets the price.**More than one serious bidder gives you leverage, and the freedom to say no.
7. **Know your "yes" before the first offer.**Clear walk-away terms keep emotion out of the biggest decision of your career.
8. **Choose a partner, not a vendor.**Trust built from day one is what lets founders hear hard truths in time to act on them.
