# When to Hire a Fractional CFO Before a Series A

Capstone CFO

**Short answer:** bring in a fractional CFO roughly three to six months before you plan to start Series A conversations. That gives enough time to put historical financials on an accrual basis, build a driver-based model, define the metrics investors will scrutinize, prepare a data room and settle on a clear use of funds. Starting earlier is even better if your books are messy or your metrics are not yet tracked consistently.

## Why timing matters

A Series A is often the first time a company faces institutional-level diligence. Investors will test your revenue quality, growth efficiency and the assumptions behind your plan. Problems found during diligence are expensive: they slow the process, weaken your negotiating position and can change the terms. Problems fixed before the process starts usually cost little more than time.

## What Series A investors expect from your numbers

- **Clean historical financials**, typically on an accrual basis with revenue recognized correctly.
- **A driver-based financial model** showing how growth, hiring and spending connect to cash and runway.
- **Consistent KPIs** for your business model, such as recurring revenue, retention, gross margin, customer acquisition cost and payback, defined the same way every time.
- **A clear use of funds** that ties the raise to specific milestones and a realistic runway.
- **An organized data room** with financials, cap table, contracts and corporate documents.

## Signs you should bring in a fractional CFO now

- Your books are on a cash basis or closed late.
- Your financial model was built for a seed deck and has not been updated since.
- Different team members report different numbers for the same metric.
- You do not know your monthly burn or runway with confidence.
- You are weighing venture debt or other financing alongside equity.
- Founder time is going into spreadsheets instead of customers and investors.

## What a fractional CFO does before and during the raise

1. **Readiness review:** assess financials, metrics and documents the way an investor will.
2. **Foundation:** clean up historical financials and define KPIs.
3. **Model and story:** build the operating model, scenarios and use of funds, and align the financial narrative with the pitch.
4. **Data room:** organize everything diligence will require.
5. **Process support:** answer financial questions, manage diligence requests and help evaluate term sheets.

## After the round closes

The work does not end at closing. New investors will expect regular board reporting, budget-versus-actual tracking and disciplined cash management. The model and KPIs built for the raise become the foundation for that reporting, which is why many companies continue with an ongoing fractional CFO after a Series A.

## Frequently asked questions

### Do I need a full-time CFO for a Series A?

Usually not. Most companies at this stage are well served by a fractional CFO, and a full-time hire often comes later as the finance workload and team grow.

### What metrics matter most for a Series A?

It depends on your model. For SaaS companies, investors typically focus on recurring revenue growth, net revenue retention, gross margin and the efficiency of customer acquisition. Other business models have their own core measures.

### Can a fractional CFO help with venture debt?

Yes. A fractional CFO can compare venture debt, bank financing and equity on cost, dilution and covenants, and prepare lender materials.
