# What Your Banker Wants to See: Building a Lender Relationship Before You Need It

Capstone CFO

**Short answer:** The best time to build a banking relationship is when you do not need the money. Lenders want to see reliable financials, predictable cash flow, a clear plan and management that communicates before problems arise. Companies that provide timely reporting, understand their covenants and keep their banker informed get better terms, more flexibility and a faster yes when an opportunity or a challenge arrives.

## How lenders think

A lender's first question is not how fast you are growing. It is how they will be repaid, and what happens if things go wrong. Every part of a credit decision comes back to cash flow, collateral and confidence in management.

- **Cash flow:** can the business comfortably cover interest and principal from operations?
- **Collateral:** what assets, such as receivables, inventory or equipment, support the loan?
- **Character and transparency:** does management report accurately and communicate early?
- **Plan:** is there a credible forecast that shows how the loan will be used and repaid?

## Common credit facilities

| Facility | Typical use | What drives availability |
| --- | --- | --- |
| Revolving line of credit | Working capital and seasonal needs | Often a borrowing base of eligible receivables and inventory |
| Term loan | Equipment, acquisitions or longer-term investments | Cash flow and collateral |
| Equipment financing | Specific equipment purchases | The value and life of the equipment |
| SBA loans | Acquisitions, real estate and growth | Program requirements and cash flow |

## Understanding borrowing bases and covenants

- **Borrowing base:** the amount you can draw, calculated from eligible receivables and inventory after the lender's advance rates and exclusions, such as aged or concentrated receivables.
- **Financial covenants:** common tests include debt service coverage, leverage and minimum liquidity or net worth.
- **Reporting covenants:** monthly or quarterly financial statements, compliance certificates, borrowing base certificates and annual financial statements, sometimes reviewed or audited.
- **Headroom:** know how close you are to each limit, and forecast it, so there are no surprises.

## What a lender-ready reporting package includes

- Accrual-basis financial statements delivered on time, every time
- A cash flow forecast and an annual budget
- Accounts receivable and payable agings
- Covenant calculations with headroom shown
- A short narrative on results, risks and plans

## Building the relationship before you need it

1. Meet your banker when results are strong, not when cash is tight
2. Share your annual plan and quarterly results proactively
3. Arrange a line of credit before you need it
4. Call your banker early if you expect to miss a covenant or forecast
5. Review your banking relationship every year and compare options

## How Capstone CFO helps

- Prepare lender-ready financial packages, forecasts and budgets
- Negotiate and compare credit facilities and terms
- Calculate and forecast covenant compliance and borrowing base availability
- Manage ongoing lender reporting and compliance certificates
- Represent your company in lender meetings and annual reviews

## Frequently asked questions

### When should we open a line of credit?

When results are strong and you do not urgently need it. Lenders are more receptive, and you will have liquidity ready when an opportunity or challenge appears.

### What happens if we break a covenant?

It depends on the loan agreement. Lenders may waive or amend it, charge a fee or tighten terms. Communicating early and with a plan gives you the best chance of a good outcome.

### Do we need audited financial statements to borrow?

Not always. Requirements depend on loan size and lender. Many smaller facilities accept internally prepared or reviewed statements, while larger ones often require an audit.
