# Continuation Funds Explained: What Management Teams Need to Know

Capstone CFO

**Short answer:** a continuation fund is a new vehicle created by a private equity firm to buy one or more companies from its existing fund. Existing investors can cash out or roll over, new investors provide the capital, and the same sponsor keeps managing the company for a further period. For management, it usually means a new holding period, a refreshed plan and often a reset of equity incentives, along with a diligence process that looks a lot like a sale.

## Why continuation funds are more common

With exits slower and holding periods longer, sponsors need ways to return cash to their investors while keeping their best companies. Continuation funds, part of the broader market for "GP-led secondaries," let them do both. Industry research, including [PrivateEquityInfo](https://privateequityinfo.com/blog/six-years-and-counting-the-new-reality-of-pe-holding-periods)'s review of holding periods, points to these structures as a growing alternative to a traditional sale.

## How a continuation fund works

1. The sponsor identifies a company it wants to keep owning, usually a strong performer with more value to create.
2. A new fund is formed, backed by secondary investors who buy the company at a negotiated valuation.
3. Investors in the old fund choose to sell for cash or roll their stake into the new fund.
4. The sponsor continues to manage the company, often with a new value creation plan and holding period.

## What it means for management

- **Diligence.** New investors will review financials, forecasts and the business plan in depth. Expect quality-of-earnings work and many questions.
- **Valuation.** The price sets a new baseline, which matters for management equity.
- **Incentives.** Management equity may be partly cashed out, rolled over or reset with new targets.
- **A new plan.** The new investors are buying a forward story, so the plan for the next several years needs to be clear and credible.

## How the finance team should prepare

- Keep monthly financials accurate, accrual-based and closed quickly.
- Maintain a driver-based forecast that supports the next phase of growth.
- Document EBITDA adjustments and key metrics as if preparing for a sale.
- Keep a current, organized data room.

## Frequently asked questions

### Is a continuation fund the same as a sale?

Not exactly. Ownership moves to a new vehicle, but the same sponsor usually stays in control. For management, the process can feel similar to a sale.

### Do management teams get liquidity?

Sometimes. Terms vary, and management may be able to sell part of its equity, roll it over, or both. Talk to your own advisors about your situation.

### How long does the process take?

It varies, but preparation, investor diligence and documentation typically take several months.
