# Behind on the Books? How Catch-Up and Cleanup Accounting Works

Capstone CFO

**TL;DR:** Catch-up accounting brings books that have fallen months behind up to date. Cleanup accounting fixes books that are current but wrong. Most growing companies need some of both. The work follows a clear order: secure the records, reconcile cash, fix the balance sheet, rebuild the P&L on an accrual basis, then put a monthly close in place so the books never fall behind again. Clean books are what make forecasting, lending, fundraising and an eventual sale possible.

## Signs your books need catch-up or cleanup work

Few companies decide to let their accounting slip. It happens as the business grows faster than the bookkeeping behind it. The warning signs are consistent:

- **The bank accounts haven't been reconciled in months.** Or they are "reconciled" with unexplained differences parked in a suspense account.
- **Financial statements arrive late, or not at all.** Leadership runs the business off the bank balance.
- **The numbers don't match what you know.** A great quarter shows a loss, or margins swing for no reason.
- **Receivables and payables in the system don't match reality.** Customers who paid still show as open; bills you paid still show as owed.
- **"Ask My Accountant" and uncategorized expense accounts keep growing.**
- **Your tax preparer makes large year-end adjustments.** Or the return was filed on extension because the books weren't ready.
- **A lender, investor or buyer has asked for financials you can't produce with confidence.**

| | Catch-up accounting | Cleanup accounting |
| --- | --- | --- |
| The problem | Months of transactions not recorded or not reconciled | Transactions recorded, but incorrectly |
| Typical cause | Bookkeeper turnover, rapid growth, the founder doing it after hours | Miscoding, cash-basis habits, a chart of accounts that no longer fits |
| The goal | Current books | Accurate books |
| In practice | Usually needed together | Usually needed together |

## Why it costs more to wait

Messy books get more expensive to fix the longer they sit. Bank and vendor records get harder to retrieve, the people who remember why a payment was made move on, and errors compound from one period to the next. Meanwhile, decisions are being made on numbers that aren't reliable.

The bigger cost usually shows up at a key moment: a credit line renewal, an investor's diligence request or a buyer's quality of earnings review. At that point, a cleanup has to happen on someone else's timeline, and unresolved issues become negotiating leverage for the other side.

## How catch-up and cleanup work gets done

1. **Secure access and records.** Gather bank and credit card statements, loan statements, payroll reports, sales system exports, key contracts and prior tax returns. Confirm the starting point: the last period that was correct, often the last filed tax return.
2. **Reconcile cash first.** Every bank, credit card and loan account is reconciled to statements, month by month. Cash is the anchor; everything else ties back to it.
3. **Fix the balance sheet.** Receivables, payables, inventory, fixed assets, loans, payroll liabilities and owner accounts are reconciled to supporting detail. Duplicates and stale items are cleared out.
4. **Correct the P&L.** Miscoded transactions are reclassified, and the chart of accounts is restructured so revenue and costs are grouped in a way that supports margin analysis.
5. **Convert to accrual.** Revenue is matched to when it's earned and expenses to when they're incurred, including deferred revenue, prepaid expenses and accrued liabilities.
6. **Review and close the periods.** Each completed period is reviewed, adjusting entries are documented, and the period is locked so it can't be changed by accident.
7. **Install the monthly close.** A close checklist, a calendar and clear ownership keep the books current from here on.

## Cash vs. accrual: why the conversion matters

Many founder-led companies keep their books on a cash basis because that's how they started. Cash basis is simple, but it can make a profitable month look like a loss, or the reverse, depending on when customers pay and bills go out. Lenders, investors and buyers expect accrual-basis financials, and most growing companies will need them well before a transaction. Converting during the cleanup avoids doing the work twice.

## What you get at the end

- Reconciled bank, credit card and loan accounts for every period
- A balance sheet that ties to supporting detail
- An accrual-basis P&L with consistent, meaningful categories
- A clean starting point for your CPA and your tax filings
- A documented list of adjustments made and why
- A monthly close process that keeps it all current

## How long it takes

It depends on how far behind the books are, how many accounts and entities are involved and how quickly records can be gathered. A few months of catch-up for a single entity is a much smaller project than multiple years across several entities. The first step is a short assessment that sizes the work and sets a realistic plan.

## How Capstone CFO helps

Our accounting team handles catch-up and cleanup work, then keeps the books current under our monthly accounting service, so the cleanup stays clean. We:

- Assess the current state of the books and give you a clear plan and timeline
- Reconcile and correct every account, period by period
- Restructure the chart of accounts for margin and KPI reporting
- Convert to accrual and document every adjustment for your CPA
- Move you onto a monthly close in 1 to 3 business days, with a reporting package within 3 to 5 business days
- Connect the clean numbers to forecasting, budgeting and KPI reporting under our CFO team

## Frequently asked questions

### Can we keep running the business while the cleanup happens?

Yes. Cleanup work happens in parallel with current activity. Most teams set a cut-off date: current transactions are recorded on the new process going forward while prior periods are corrected behind them.

### Will a cleanup change our tax returns?

Sometimes. If corrections affect periods already filed, your CPA will decide whether amended returns are needed. We document every adjustment so your CPA can make that call quickly. This is not tax advice; your CPA should review your specific situation.

### Should we switch accounting software during the cleanup?

Only if your current system can't support where the business is going. A cleanup is a good moment to migrate, because you are rebuilding the chart of accounts anyway, but the decision should be driven by your needs, not by the cleanup itself.
