# Bridge Round or Priced Round? Raising Capital When Venture Money Is Chasing AI

Capstone CFO

**Short answer:** raise a priced round when your metrics clearly support the next valuation step; use a bridge when you are close to a milestone that will change your valuation and you have a credible plan to reach it with the bridge money. A bridge to nowhere is the worst outcome, so define the milestone, the runway and the next step before you raise.

## What is happening in venture funding

Venture investment in 2026 has been strong overall but heavily concentrated in AI. According to [Causo's H1 2026 bridge rounds report](https://hub.causo.ai/guides/h1-2026-bridge-rounds-report), which draws on Carta, PitchBook-NVCA and Cooley data, AI companies took about half of the largest deals in early 2026, bridges were the most common instrument at Series A, and the median time between priced rounds stretched to nearly two years. For companies outside the AI spotlight, extending runway between rounds has become normal.

## Bridge or priced round: how to decide

| | Bridge round | Priced round |
| --- | --- | --- |
| Best when | You are close to a milestone that will clearly raise your valuation | Your metrics already support the next stage |
| Typical form | Convertible note or SAFE, often from existing investors | New preferred shares with a set valuation |
| Speed and cost | Faster and cheaper to close | Longer process, more diligence and legal work |
| Main risk | Extending without reaching the milestone | A lower valuation or tougher terms if metrics are weak |

## Questions to answer before raising a bridge

- What specific milestone will the bridge fund, and how will it change the next round?
- How many months of runway does the bridge buy at the planned burn rate?
- Are existing investors willing to lead or participate?
- What are the conversion terms (discount, cap, interest), and how do they affect dilution?
- What is the plan if the milestone slips?

## Preparing for a priced round

- Clean, accrual-basis financials and well-defined metrics
- A driver-based model with a clear use of funds
- A data room ready before the first meeting
- A story that connects the milestones achieved to the next stage of growth

## Frequently asked questions

### Is a bridge round a bad signal?

Not in itself, especially when bridges are common. It becomes a negative signal when the company cannot explain what the bridge achieves or raises several in a row.

### What is a down round?

A priced round at a lower valuation than the previous one. It can trigger anti-dilution provisions and reset expectations, but it is sometimes the right choice to secure capital.

### Can we raise venture debt instead?

Sometimes. Venture debt can extend runway with less dilution, but it adds repayment obligations and covenants. Compare it carefully with equity options.
